Moog Inc. Announces Offering of Senior Notes

Moog Inc. (NYSE: MOG.A and MOG.B) announced today an offering of $400 million in aggregate principal amount of senior notes due 2027 to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). Offers to persons outside the United States will be made pursuant to Regulation S under the Securities Act. The proposed offering is subject to market and other conditions. Moog Inc. intends to use the net proceeds of the offering to redeem the $300.0 million aggregate principal amount outstanding on its 5.250% Senior Notes due 2022 and repay a portion of outstanding borrowings under its senior bank credit facility.

The notes have not been, and will not be, registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
